Lost in Film Constitution

1. Name

The Society/Community Cinema shall be known as Lost In Film, referred to here as ‘The Society'.

2. Objects

The objects of Lost In Film are:

  1. To advance the education of the public in the knowledge, understanding and appreciation of film (and allied visual techniques).

  2. To encourage interest in film as an art form and as a medium for public education and for the distribution of information, by means of the exhibition of films of artistic, cultural or scientific character.

  3. To promote the study and appreciation of films by such means as lectures, discussions and exhibitions.

  4. Such lectures, discussions and exhibitions will be open to the public.

3. Membership

    1. There shall be no ‘paid for' membership. All screenings will be open to all members of the public, subject to UK film certification rules.

    2. The committee members shall be deemed the Members of the society and shall be drawn from those in the local community who pay to see films and who therefore support the Society (the Supporters).

4. Management

  1. Lost In Film shall be governed by the law of England and Wales.

  2. The business of Lost In Film shall be managed by a Committee of at least 5 members and no more than 8. The Committee shall consist of a Chair, a Treasurer, a Secretary and such other Officers as may, from time to time, be appointed.

  3. The quorum for a Committee Meeting shall be 3 and there shall be at least 6 such meetings in a year.

  4. The Committee shall be responsible for the selection of films.

  5. The Committee shall be elected at the Annual General Meeting and hold office until their successors are elected at the next AGM, at which all Committee Members shall stand down, but may offer themselves for re-election.

  6. The quorum for Annual General Meetings shall be 5 Committee Members.

  7. A Special General Meeting may be called at any time by the Committee or upon request in writing to the Secretary and signed by at least six Supporters; in the latter case, the Special General Meeting shall be held within four weeks of the request being submitted, if the signatories so wish.

  8. The quorum for any Special General Meeting shall be at least two Committee Members and six Supporters.

  9. Lost In Film shall be non-political, ie it shall not espouse the cause of any political party.

  10. Lost In Film shall not be run for private profit. Any balance at the end of the year shall be carried over and devoted to the Objects of Lost In Film.

  11. No Committee Members shall receive payment directly or indirectly for their services or for anything other than legitimate expenses incurred in work for Lost In Film.

  12. Accounts will be produced annually and inspected by an independent person.

  13. Lost In Film shall not be wound up except by a resolution of 75% of those present at a Special General Meeting called for that purpose. In the event of a winding up, the remaining funds of Lost In Film shall not be distributed among the Members but be passed to a non-profit making organisation or organisations with objects similar to those of Lost In Film. Such organisations shall be chosen by the Committee in consultation with the British Federation of Film Societies or a like organisation.

5. Alteration of Rules

No alteration of rules shall be made except by a resolution of 67% of those present at a General Meeting. No amendment shall be made which would cause Lost In Film to cease to be a not-for-profit organisation.
